Terms of Service
Welcome to Saguaro Transport. These Terms of Service ("Terms") govern your access to and use of the services provided by Saguaro Transport ("Company," "we," "us," or "our"), including our website at www.saguarotransport.com, mobile applications, client portal, driver portal, dispatch command center, and transportation services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
1. Description of Services
Saguaro Transport provides regional and last-mile transportation and logistics services throughout the Southwest United States, including:
Transportation Services: Parcel delivery, freight (LTL and FTL), pharmaceutical and medical courier (HIPAA-compliant), document delivery, linehaul, and palletized shipments across multiple service tiers including Standard, Express, and Overnight options.
Client Portal: Self-service platform for creating shipments, obtaining instant rate quotes, real-time tracking, managing invoices and payments, accessing visual proof of delivery (VPOD), and viewing shipment history.
Driver Portal: Mobile application for drivers providing route management, task assignments, electronic proof of delivery capture, pre-trip and post-trip vehicle inspections, earnings tracking, and secure communications.
Dispatch Command Center: Real-time fleet management, route optimization, driver assignment, geofencing, and operational analytics for enterprise clients.
Enterprise Integration: API access for automated shipment creation, tracking, and delivery confirmation integration with client systems.
2. Account Registration and Security
To access certain features of our Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account.
We reserve the right to suspend or terminate accounts that contain false information, are used for fraudulent purposes, or violate these Terms. Access to certain portals (Client, Driver, Command Center, Fleet Management, CRM, Accounting, Safety, and Admin) is role-based and requires appropriate authorization.
3. Booking and Transportation Services
Shipment Creation:
When creating a shipment, you agree to provide accurate origin and destination addresses, accurate weight and dimensions, appropriate service level selection, complete description of goods including any hazardous or special handling requirements, and valid contact information for pickup and delivery.
Rate Quotes and Pricing:
Rate quotes provided through our calculator are valid for 48 hours from generation. Final charges may vary based on actual weight, dimensions, accessorial services required, fuel surcharges, and address corrections. Current fuel surcharges are applied to all shipments based on the DOE Weekly Report or other industry-standard sources.
Accessorial Services:
Additional charges apply for services including but not limited to liftgate delivery, residential delivery, inside delivery, limited access locations, appointment deliveries, and hazardous materials handling.
Prohibited Items:
We do not transport illegal substances or contraband, explosives or weapons, live animals, currency or bearer instruments, items prohibited by applicable law, and undeclared hazardous materials. Shipments containing prohibited items may be refused, returned, or reported to authorities.
4. Payment Terms
Payment terms vary based on account type and credit arrangements:
Standard Accounts: Payment is due upon shipment creation or upon receipt of invoice, as determined by your account status.
Credit Accounts: Approved clients may receive Net 15 or Net 30 payment terms. Credit terms are subject to approval and may be modified or revoked based on payment history.
Late Payments: Invoices not paid within the specified terms may be subject to a late fee of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less.
Disputed Charges: Claims regarding billing must be submitted in writing within 30 days of invoice date. Undisputed portions remain due per original terms.
5. Liability and Claims
Cargo Liability:
Our liability for loss or damage to cargo is limited to the lesser of actual value, declared value, or $100 per shipment unless additional cargo insurance is purchased. Claims for loss or damage must be filed in writing within 9 months of the delivery date (or expected delivery date for lost shipments).
Exclusions:
We are not liable for loss, damage, or delay caused by acts of God, natural disasters, or severe weather; war, terrorism, or civil unrest; acts or omissions of the shipper or consignee; inherent defect, quality, or vice of the goods; improper packaging by the shipper; government action or customs delays; strikes or labor disputes; or circumstances beyond our reasonable control.
Limitation of Liability:
To the maximum extent permitted by law, Saguaro Transport shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of whether such damages were foreseeable.
Insurance:
Saguaro Transport maintains commercial auto liability insurance and cargo insurance as required by federal and state regulations. Certificates of insurance are available upon request. Shippers requiring additional coverage should arrange their own cargo insurance or purchase supplemental coverage through us.
6. Regulatory Compliance
Saguaro Transport operates in compliance with applicable federal, state, and local regulations, including:
Department of Transportation (DOT): We maintain all required DOT registrations, driver qualifications, hours of service compliance, vehicle maintenance programs, and safety management systems.
Transportation Security Administration (TSA): Personnel handling certain shipments undergo required background checks and security training.
HIPAA Compliance: For pharmaceutical and medical shipments, we maintain HIPAA-compliant chain of custody procedures, execute Business Associate Agreements with healthcare clients, and implement appropriate administrative, physical, and technical safeguards.
Hazardous Materials: Shipments containing hazardous materials must comply with all applicable DOT HAZMAT regulations. Additional documentation and handling fees apply.
7. Real-Time Tracking and Data
Our Services include GPS tracking updated every 30 seconds for active shipments, estimated time of arrival (ETA) calculations incorporating real-time traffic and weather conditions, geofencing notifications for arrival and departure events, electronic proof of delivery (POD) including signatures and photographs, and vehicle telematics for fleet management. Tracking data is provided for informational purposes and ETAs are estimates only. We are not liable for delays or discrepancies between estimated and actual delivery times.
8. Driver Portal Terms
Drivers using our Driver Portal agree to maintain accurate availability and status information, complete assigned tasks according to provided instructions, conduct pre-trip and post-trip vehicle inspections as required, capture accurate proof of delivery including signatures and photographs, comply with all traffic laws, DOT regulations, and company policies, maintain confidentiality of customer information, and use the portal and company equipment only for authorized business purposes. Drivers acknowledge that their location, performance, and activity data will be collected through the portal for operational and compliance purposes.
9. Intellectual Property
All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, icons, images, and the overall design of our website and applications, are owned by Saguaro Transport or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included software without our express written permission.
10. Acceptable Use
You agree not to use our Services to violate any applicable law or regulation, infringe upon the rights of others, transmit malware, viruses, or harmful code, attempt to gain unauthorized access to our systems, interfere with or disrupt our Services, engage in fraudulent activity, or use automated tools to access our Services without permission. We reserve the right to suspend or terminate access for violations of this section.
11. Indemnification
You agree to indemnify, defend, and hold harmless Saguaro Transport, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, violation of these Terms, violation of any rights of a third party, or any content or goods you ship through our Services.
12. Termination
Either party may terminate the service relationship with 30 days' written notice. We may suspend or terminate your access immediately without notice if you breach these Terms, fail to pay amounts owed, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Services will cease immediately. All outstanding invoices become due upon termination. Provisions regarding limitation of liability, indemnification, intellectual property, and dispute resolution survive termination.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. For material changes, we will provide notice through the Services or via email. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good faith negotiation. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with arbitration taking place in Phoenix, Arizona. The arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
15. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Saguaro Transport regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
